1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and NexaPrep ("we," "us," or "our"), governing your access to and use of the website located at tools.nexaprep.com and all associated tools and services (collectively, the "Service").

By accessing or using the Service in any way — including browsing the website, using any tool, or downloading any output — you confirm that:

• You have read and understood these Terms.
• You are at least 13 years of age (or the minimum age of digital consent in your jurisdiction).
• You agree to be bound by these Terms and our Privacy Policy.

If you do not agree to these Terms, you must immediately stop using the Service.

2. Description of the Service

NexaPrep Tools provides a suite of free, browser-based web utilities, including but not limited to:

• PDF Tools: Merge, split, compress, rotate, watermark, add page numbers, edit, sign, and convert PDFs.
• Image Tools: Convert, compress, crop, resize, and remove backgrounds from images.
• Calculator Tools: EMI, SIP, BMI, and age calculators; unit converters.
• Text & Audio Tools: Word counter, text-to-speech, speech-to-text.
• Developer Tools: JSON formatter/validator, CSS animation generator, color picker, live CSS editor, GitHub README generator.
• Generator Tools: QR code generator, password generator, URL shortener.

All tools are provided free of charge. No registration or account creation is required to use any tool. All processing occurs client-side in your browser — files and data you input are not uploaded to our servers.

3. Eligibility

You must be at least 13 years old to use the Service. In jurisdictions where the age of digital consent is higher (e.g., 16 in certain EU/EEA countries under GDPR), you must meet that higher age requirement. By using the Service, you represent and warrant that you meet the eligibility requirements applicable in your jurisdiction.

If you are using the Service on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms.

4. Permitted Use

You are permitted to use the Service for lawful personal, educational, or professional purposes, including:

• Processing your own files, documents, images, and data.
• Using calculator tools for personal or professional financial planning.
• Generating QR codes, passwords, and other outputs for your own use or reasonable commercial use.
• Using developer tools to aid in software development and design.
• Embedding links to our tools on your website or sharing them with others for legitimate use.

5. Prohibited Use

You agree NOT to use the Service for any of the following purposes:

• Processing or distributing any file or content that is illegal, infringing, defamatory, fraudulent, obscene, or harmful.
• Circumventing, disabling, or interfering with security-related features of the Service.
• Using automated scripts, bots, scrapers, or crawlers to access or stress-test the Service without our express written permission.
• Attempting to gain unauthorized access to any part of our infrastructure or servers.
• Using the Service to process files belonging to others without their consent.
• Reverse-engineering, decompiling, or disassembling any software component of the Service.

6. Intellectual Property Rights

All content on this website — including but not limited to the website design, layout, source code, text, logos, icons, tool interfaces, and CSS — is the property of NexaPrep and is protected by applicable intellectual property laws, including copyright and trademark law.

The underlying tool logic is implemented using open-source JavaScript libraries (e.g., pdf-lib.js, qrcode.js, Cropper.js). Such libraries are subject to their respective open-source licenses (typically MIT or Apache 2.0).

You retain all intellectual property rights to any files or content that you upload or create using the Service. We claim no ownership over your files.

You are granted a limited, non-exclusive, non-transferable license to access and use the Service solely for its intended purpose, in accordance with these Terms.

7. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Warranties of merchantability, fitness for a particular purpose, or non-infringement.
• Any warranty that the Service will be uninterrupted, error-free, or secure.
• Any warranty regarding the accuracy, completeness, or usefulness of tool outputs (including but not limited to EMI calculations, BMI readings, or converted files).

You use the Service and its outputs entirely at your own risk. Always verify critical outputs (especially financial or medical) with qualified professionals before acting on them.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NEXAPREP AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages.
• Loss of data, loss of profits, loss of files, or business interruption, however caused and regardless of the theory of liability.
• Damages arising from your use of or inability to use the Service.
• Any errors, inaccuracies, or omissions in tool outputs.

In jurisdictions that do not allow the exclusion or limitation of incidental or consequential damages, our liability shall be limited to the maximum extent permitted by law.
